Terms of use

These Terms of Use (“Terms”) govern your access to, and use of, all websites and mobile applications (Android and iOS) operated by EMB STORE BD (“Website” or “Websites”). They also apply to any services we provide through those Websites, including the download and use of content (“Service” or “Services”).

By accessing or using any of our Websites, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of the Terms, you must not use our Websites or Services.

EMB STORE BD may revise these Terms at any time. The “Last updated” date above indicates when changes were most recently made. Your continued use of our Websites after any revision constitutes acceptance of the updated Terms, so please review them regularly.

Certain Services may carry additional conditions or instructions that you must accept before using them. These specific conditions—whether imposed by EMB STORE BD or a third party—supplement these Terms and prevail over them in case of conflict. You must read and agree to any such conditions before accessing the relevant Service.

Our Privacy Policy explains how we collect and process personal data and forms part of these Terms. Please read it carefully.

1. OFFERED SERVICES

EMB STORE BD operates several digital platforms for the global creative sector, accessible via its websites and mobile apps (collectively, “Websites”), including any current or future sub‑domains or sections. The Services available on each Website may be free, pay‑per‑use, or subscription‑based, depending on the offer in place when you register or purchase the relevant Service.

General Access

Once registered on any EMB STORE BD Website, you may access the Services of that site and—subject to the applicable pricing model—any Services offered on other EMB STORE BD Websites.

Services on the EMB STORE BD Website and Mobile App

Through the EMB STORE BD website and mobile application, you can:

  • Search for embroidery designs in multiple file formats.

  • Access detailed information about each design.

Search results may include:

  1. EMB STORE BD Own Content – designs owned by EMB STORE BD.

  2. EMB STORE BD Collaborator Content – designs uploaded by third‑party contributors and made available through the EMB STORE BD platform.

  3. EMB STORE BD Sponsored Content – third‑party designs not offered free of charge; these results are clearly identified as sponsored.

EMB STORE BD Own Content and EMB STORE BD Collaborator Content are referred to collectively as “EMB STORE BD Content.” All EMB STORE BD Content can be downloaded directly from our website or app.

Search results may also display EMB STORE BD Third‑Party Content—designs freely available elsewhere on the internet.

Contributor Uploads

Registered Users may upload embroidery designs to EMB STORE BD to store, publish, and share them as EMB STORE BD Collaborator Content. Uploads must follow the procedures and guidelines that EMB STORE BD sets from time to time.

2. AUTHORISED USE OF THE WEBSITE AND APPLICATION

The User is only authorised to use the Websites and Services in accordance with these Terms and in good faith. In particular—whether or not the User has a subscription—every access to or download of content from the Websites or Services must reflect a genuine, legitimate interest. Any method that artificially inflates downloads, views, or clicks (including, without limitation, the use of robots, spiders, scripts, mobile apps, programs, or other tools) is strictly prohibited. Such activity will lead to immediate cancellation of the User’s account by EMB STORE BD and may obligate the User to indemnify EMB STORE BD for any resulting damages.

The User agrees not to use the Services negligently, fraudulently, or unlawfully, and not to engage in conduct that could damage the designs, reputation, interests, or rights of EMB STORE BD or any third party—especially the owners of Collaborator Content, Third‑Party Content, or Sponsored Content.

The User will not disrupt the operation of the Websites or Services and will not impersonate another person. Actions that damage, disable, overburden, impair, or hinder normal use—or that compromise security—are forbidden. It is prohibited to employ robots, spiders, or any other mechanism, mobile application, program, or tool to access, copy, or control any part of the Websites or Services in a manner contrary to ordinary use or that infringes EMB STORE BD’s interests, without prior express authorisation. Likewise, obtaining or attempting to obtain Website content using any method not expressly authorised by EMB STORE BD, or not part of the ordinary means of access, is prohibited.

The User is responsible for ensuring, before using the Services, that the Services meet their needs and that they possess all necessary requirements, equipment, and software—and for bearing any costs associated with such use.

All rights granted under these Terms are personal to the User and may not be assigned—wholly or partly, by any means—to any third party (including affiliates or group companies) without the prior, express, written consent of EMB STORE BD.

The User acknowledges and agrees that the Websites may display advertising—related or unrelated to searched content or Services—while providing the Services.

3. RESPONSIBILITY

The User acknowledges and agrees that they use the Websites and Services at their own risk and responsibility; therefore, EMB STORE BD accepts no liability for any misuse or use that breaches these Terms.

The User will be liable for any damages suffered by EMB STORE BD arising from their breach of these Terms and agrees to indemnify EMB STORE BD—including its directors, employees, agents, and representatives—against any claims resulting from such breach.

EMB STORE BD does not guarantee the availability, continuity, reliability, quality, completeness, accuracy, or fitness for a particular purpose of the Websites or Services.

Without limitation, EMB STORE BD is not liable for damages caused by:

  1. Interruptions, viruses, technical issues, interferences, omissions, power cuts, or failures in telecommunication networks or the User’s equipment beyond EMB STORE BD’s control.

  2. Delays or unavailability caused by internet, network, or power‑grid congestion or failure.

  3. Third‑party actions.

  4. Maintenance downtime or software updates.

  5. Any other event outside EMB STORE BD’s direct control.

Except in cases of wilful misconduct by EMB STORE BD—or where liability cannot legally be limited—the User bears sole risk for using the Websites and Services, and EMB STORE BD shall not be liable for any damages of any kind arising from such use.

Regarding Third‑Party Content and Sponsored Content, EMB STORE BD merely provides a search function at the User’s request and accepts no responsibility for the resulting links or listings.

Links included in the Services do not imply any relationship, recommendation, or oversight by EMB STORE BD, and the company accepts no liability for the content of linked sites, except where specifically required by law.

For Collaborator Content, EMB STORE BD only acts as an intermediary between contributors and Users who download their designs and bears no responsibility for such content except as expressly required by law.

While EMB STORE BD makes commercially reasonable efforts to ensure accurate keywords, titles, and descriptions—and to flag content for editorial‑only use where applicable—it offers no warranty or representation about their accuracy. Consequently, EMB STORE BD will not indemnify or be liable for any claims arising from inaccurate keywords, titles, or descriptions, or from the use of content designated as editorial‑only.

 

3. USE OF THE WEBSITES CONTENT

EMB STORE BD authorises Users to download and use Website Content under the terms set out below. All rights not expressly granted remain reserved to EMB STORE BD and its licensors.

EMB STORE BD grants the User a worldwide, non‑transferable, limited, and non‑exclusive licence—valid for the duration of the relevant rights—to download, use, and modify Website Content on a device the User owns or controls, solely for the purposes permitted in these Terms.

The User may use EMB STORE BD Content only if all of the following conditions are met:

  1. No collective use – The content is not employed as part of a collective distribution or service.

  2. No implied endorsement – Use must not suggest endorsement or association by EMB STORE BD or its Websites.

  3. No stock‑library redistribution – The content (or derivatives) is not placed in any database, archive, stock library, clip set, or other collection for distribution or resale, nor used in any way that limits future visits or downloads from the Websites.

  4. No resale or sublicensing – The content (or derivatives) is not resold, assigned, transferred, or sublicensed.

  5. No trademark or logo use – The content is not incorporated—wholly or partly—into any trademark or logo, or used to imply a product or service guarantee, unless it is so transformed that it becomes a new, distinct work not confusingly similar to the original and used only as a template or test, not as a final product.

  6. No defamatory or unlawful use – The content is not used in any defamatory, libellous, obscene, immoral, or illegal manner, including portraying any person negatively—for example, in ads for escort services, political endorsements, or sensitive products such as birth‑control items.

  7. No hateful or vilifying use – The content is not used to slander, libel, or vilify any person or group based on race, gender, culture, religion, nationality, region, community, or other identity.

All references to “India’s No. 1” (or similar) in legacy materials should be understood in the Bangladesh context of EMB STORE BD.
